1. Acceptance of Terms
By accessing or using the website at ranomics.com (the "Site") and any services provided by Ranomics Genomics Inc. ("Ranomics," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Site or our services.
2. Description of Services
Ranomics provides protein engineering, cell engineering, and computational protein design services on a contract research basis. We also provide free research tools (such as Epitope Scout) and educational content through our Resource Hub. Service engagements are governed by separate statements of work agreed upon between Ranomics and the client.
3. Use of the Website
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any portion of the Site or its systems
- Use automated tools to scrape, crawl, or extract data from the Site beyond what is permitted by our robots.txt
- Transmit any material that is defamatory, obscene, or otherwise objectionable
- Interfere with or disrupt the Site or its hosting infrastructure
4. Intellectual Property
All content on the Site, including text, graphics, logos, images, and software, is the property of Ranomics Genomics Inc. or its content suppliers and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written permission.
The computational tools we use in our service delivery (RFdiffusion, BindCraft, ProteinMPNN, and others) are open-source software used under their respective licenses. Ranomics does not claim ownership of these tools. Client-specific results and data generated during service engagements are governed by the applicable statement of work.
5. Free Tools and Research Resources
Epitope Scout and other free tools provided through the Site are offered "as is" for research purposes. We make no warranties regarding the accuracy, completeness, or fitness for any particular purpose of the results generated by these tools. Free tools may be modified, suspended, or discontinued at any time without notice.
6. Client Services
Paid service engagements (binder design campaigns, display screening, library construction, etc.) are governed by individual statements of work executed between Ranomics and the client. These Terms of Service apply to the use of the Site, not to the specific terms of service engagements, which are defined in the applicable statement of work.
7. Limitation of Liability
To the fullest extent permitted by law, Ranomics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services. Our total liability for any claim arising from or related to the Site shall not exceed the amount you paid to Ranomics in the twelve months preceding the claim, or CAD $100, whichever is greater.
8. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
Scientific content published on the Site (including Resource Hub articles) is provided for educational and informational purposes. It does not constitute professional advice. Experimental results and computational predictions described in our content reflect general methodological capabilities and do not guarantee specific outcomes for any particular project.
9. Indemnification
You agree to indemnify and hold harmless Ranomics, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Site or violation of these Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
11. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the updated terms.
